Entering the minds of the negotiators
This books is most useful since it not only gives you a clear understanding of the whole M&A process and what goes into the development of the acquisition agreement, but it takes you into the minds of the negotiators as well. The book almost reads like a story book, making it easier to follow than some of the other highly-detailed books on M&A. Despite the fact that this book was written in 1976, it still holds a great amount of value for young corporate lawyers. Perhaps that's why used copies of the book are selling at such a premium these days!

Best Book on Negotiating Mergers & Acquisitions (M&A)
I am an attorney with a backround in mergers & acquisitions (M&A) and corporate and securities law. This book is the best overall introduction I have found related to mergers & acquisitions, especially as it relates to the negotiation and drafting of actual merger & acquisition agreements. It has comprehensive coverage of each of the various sections of a typical or standard M&A agreement and discusses the negotiating, drafting, and legal considerations from both sides of the transaction.This is required reading for any mergers & acquisitions lawyer or investment banker involved in dealmaking. It is excellent and has withstood the test of time and is not out-of-date.
